Terms and Conditions
1. Introduction
These general terms and conditions govern the use of legal entity identifier (LEI) registration, renewal and management services provided by LEI Universal OÜ. LEI Universal OÜ (hereinafter “LEI Universal”; LEI 9845004C4F3FC645AC20) operates as an LEI registration agent. To deliver our services, we work in partnership with the LEI issuer (LOU) Ubisecure Oy (RapidLEI; LEI 529900T8BM49AURSDO55). By using our services, the applicant agrees in full to these terms.
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these terms.
2. Services
2.1
To begin registering, renewing or transferring an LEI number, the applicant must complete the relevant application form. By submitting the application form, the applicant confirms acceptance of these terms, the accuracy of the information provided and their authority to represent the legal entity in the LEI application.
2.2
The applicant understands that their contact details may be shared with the relevant LEI issuer (LOU).
2.3
The applicant authorises LEI Universal to sign the LOU terms and conditions on their behalf, which are available here.
2.4
The applicant grants LEI Universal authority to manage the LEI number, including applying for, renewing and transferring it.
2.5
In the case of an LEI transfer, the applicant understands that it may involve a change of LOU. If the LEI number being renewed is not under LEI Universal’s management, it must be transferred before the renewal can begin.
2.6
LEI Universal begins processing the application upon receipt of payment in accordance with the selected plan.
2.7
A renewal order may be submitted at any time. The LEI issuer normally processes the renewal within 60 days before the next renewal date. If the client asks to renew or transfer an LEI held with another provider more than 60 days before that date, part of the remaining validity period may be lost.
2.8
A signed Letter of Authorization (LoA) is always required for an LEI transfer. For registration or renewal, the applicant may also be asked for a notarised authorization or another document proving their authority to act on behalf of the legal entity. By signing on the website, the signatory confirms that the name, role and signature provided are accurate and that they are authorized to represent the legal entity. The signed LoA and its audit record may be shared with the LEI issuer.
2.9
If the legal entity has a parent company that consolidates financial reports, parent company (Level 2) data must be provided. If the company cannot provide parent company data, the reason must be stated. LEI Universal may contact the applicant to request additional documents to verify consolidation.
2.10
If the applicant fails to provide the required information, LEI Universal and the LOU will make reasonable efforts to complete the application. If the LEI registration, renewal or transfer cannot be completed due to incomplete information, neither LEI Universal nor the LOU will be liable for any resulting losses.
2.11
Once the process is complete, a confirmation and invoice will be sent to the email address provided in the application.
2.12
Once submitted and terms have been accepted, the application is final. Payments are non-refundable once processing has begun, and the LEI number is issued based on the information provided.
2.13
Once issued, the LEI number and its associated data are published on the GLEIF website. An LEI number cannot be deleted or transferred to another legal entity.
2.14
LEI Universal will send the applicant a reminder to renew the LEI number 60 days before expiry.
3. Fees and payment
3.1
The fees for initial LEI registration and renewal are displayed on the LEI Universal website. The fees applicable to your order are those displayed at the time of payment. LEI Universal reserves the right to change its fees for future orders.
3.2
Payment must be made in accordance with the payment terms shown on the LEI Universal website. If LEI Universal has not received payment in accordance with the selected plan, it has the right to suspend the processing of the application.
3.3
GLEIF fees are included in the subscription fees.
3.4
Prices are shown excluding VAT. Irish VAT is 23%. Reverse charge or zero-rating is applied only when the checkout evidence supports it.
3.5
Any optional services shown during the application are charged separately.
3.6
Verification of Level 2 data (the company’s ownership structure) is charged at €10 per parent company per year.
4. Refunds
4.1
The client has the right to request a refund subject to the conditions set out in this section. To submit a refund request, please send an email to [email protected].
4.2
Refund requests are processed within 7 business days of receipt. Depending on the bank or payment provider, the funds may take up to 30 days to arrive in the client’s account.
4.3
LEI Universal OÜ reserves the right to apply a refund processing fee of €20. This fee is applied to each approved refund and is deducted from the refunded amount.
4.4
Refunds cannot be requested in the following cases:
- The LEI application has been finally confirmed by the client and placed into processing.
- The LEI renewal has been completed and the LEI number has been renewed.
- The client requests a refund for a multi-year plan after the service has begun.
- The client has transferred the LEI number to another service provider before the end of the prepaid period.
- The LEI number cannot be issued or renewed due to the client’s inaction (for example, failure to provide the required documents within 60 days).
- In other cases defined within the GLEIF RA framework.
4.5
LEI Universal OÜ follows the guidelines of the Global Legal Entity Identifier Foundation (GLEIF) RA Governance Framework regarding refunds.
5. Governing law and jurisdiction
5.1
This agreement and any disputes or claims (including non-contractual disputes or claims) arising out of its subject matter or formation shall be governed by the laws of the Republic of Estonia.
5.2
The parties agree that any disputes or claims will be subject to the exclusive jurisdiction of the courts of Estonia.
6. Limitation of liability
6.1
LEI Universal will make reasonable efforts to obtain an LEI number for the applicant.
6.2
LEI Universal shall not be liable for any indirect, incidental, special or consequential damages, including loss of profit, revenue, data or use, arising from the use of the services.
6.3
To the fullest extent permitted by law, LEI Universal makes no warranties, whether express or implied, regarding the services, including any implied warranties of merchantability or fitness for a particular purpose.
6.4
LEI Universal shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, power or internet outages, or actions by GLEIF, the LOU, or governmental authorities.
7. Final provisions
7.1
LEI Universal reserves the right to amend these terms at any time. For material changes, we will notify customers by email at least 14 days before the amendments take effect. Minor changes (such as corrections, clarifications or changes required by law) may take effect immediately upon publication on the website. Continued use of the services after the effective date constitutes acceptance of the amendments.
7.2
Any disputes between the applicant and LEI Universal shall first be resolved through negotiation.
